    How to Transfer an Investment Portfolio by Inheritance: Insights from MORIS

    The growing popularity of investing in company shares in Ukraine has raised important questions about the inheritance of such assets. Senior Associate, Solomiia Iosypenko, shared with Minfin how to properly arrange the transfer of shares as part of an inheritance.

    Shares are recognized as objects of civil rights and may therefore be inherited on general grounds, as defined by the Civil Code of Ukraine and the Law of Ukraine "On Capital Markets and Organized Commodity Markets."

    Inheritance can take two forms:

    • By will — This allows the testator to designate a specific heir (an individual or legal entity), and to specify in detail the type of shares, the name of the issuer, and the quantity. However, the testator cannot exclude from the inheritance those entitled to a compulsory share, such as minor children, underage and adult dependents, a dependent spouse, or dependent parents.

    • By law — If no will exists, the shares will be inherited by relatives in order of statutory succession.

    Key steps for heirs:

    • Submit an application to accept the inheritance within six months from the date of the testator’s death.
    • If this deadline is missed for valid reasons, heirs may petition the court to extend the period for acceptance.
